Step 1: CARRIER INFORMATION

STEP 2: TERMS AND CONDITIONS

Please read the following terms carefully. These terms apply to the Agreement as a whole, including the dedicated lane, any services selected in Step 3, and the payment arrangements in Step 4.

2.1 Independent Contractor Relationship

Carrier is an independent contractor and not an employee, agent, partner, or joint venturer of Company. Nothing in this Agreement shall be construed to create an employer-employee relationship. Carrier retains the right to determine the manner and means of performing services, subject to applicable safety and regulatory requirements.

2.2 Term and Termination

This Agreement begins on the Agreement Date and continues until terminated. Either Party may terminate this Agreement, including the dedicated lane and any services selected under Step 3, by providing the other Party at least three (3) business days' prior written notice. Termination does not relieve either Party of obligations accrued before the termination date, including payment of outstanding fees, rentals, or freight charges due at that time.

2.3 Optional Services

Company makes available certain optional support services to Carrier, including equipment rental, authority access, and compliance-related assistance, as listed in Step 3. These services are voluntary and billed separately from freight compensation, unless Carrier lacks the underlying requirement to operate on the dedicated lane (for example, no existing insurance or operating authority), in which case the corresponding service becomes a condition of participation. Fees for equipment-based or scope-dependent services may vary based on the size, type, and availability of the equipment or service requested, and the final rate will be confirmed with Carrier in writing before any charge is made.

2.4 Compliance with Laws

Carrier is solely responsible for compliance with all applicable federal, state, and local transportation laws and regulations, including Federal Motor Carrier Safety Administration (FMCSA) regulations, regardless of which services Carrier selects under Step 3. Nothing in this Agreement relieves either Party of its respective obligations under U.S. Department of Transportation and FMCSA regulations.

2.5 Insurance and Liability

Each Party shall maintain insurance coverage appropriate to its operations and as required by applicable law. Where Company arranges or provides insurance in connection with a service selected under Step 3, the scope and cost of that coverage will be confirmed with Carrier in writing before it takes effect. Except as expressly agreed in writing, each Party is responsible for its own liability arising from its acts or omissions.

2.6 Equipment

Carrier shall use any Company-provided equipment solely for purposes authorized under this Agreement, inspect it before each day of use, promptly report mechanical or safety issues, and return it in the condition received, ordinary wear and tear excepted. Carrier is responsible for damage beyond ordinary wear and tear.

2.7 Payment and Invoicing

Freight compensation is paid to Carrier as described in Step 4. Fees for any services selected under Step 3 are billed separately from freight compensation and are due according to the schedule stated for each service. Company will issue Carrier an itemized receipt for every payment received, and an itemized statement for any deduction made from Carrier's compensation.

2.8 Confidentiality

Each Party agrees to keep confidential any non-public business, financial, or operational information disclosed by the other Party in connection with this Agreement, and not to disclose it to third parties except as required by law or with the disclosing Party's written consent.

2.9 Indemnification

Each Party agrees to indemnify and hold the other harmless from third-party claims, damages, or losses arising from its own negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the other Party's negligence or misconduct.

2.10 Force Majeure

Neither Party is liable for delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including acts of God, weather, government action, labor disputes, or road or facility closures.

2.11 Assignment

Neither Party may assign this Agreement without the prior written consent of the other Party, except that Company may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

2.12 Governing Law and Entire Agreement

This Agreement is governed by the laws of the state in which Company is headquartered, without regard to conflict-of-law principles. This Agreement, together with any written schedules referenced herein, constitutes the entire agreement between the Parties and supersedes all prior verbal or written understandings regarding its subject matter. Any amendment must be in writing and signed by both Parties.

2.13 Notices

Any written notice required under this Agreement, including notice of termination, shall be sent to the phone number, address, or contact method provided by each Party in Step 1, and is considered delivered when sent by email, text, or hand delivery, or three (3) business days after mailing.

STEP 3: SELECT SERVICES

Select any services you would like in addition to the dedicated lane. Each service is optional unless noted otherwise in Section 2.3 of the Terms & Conditions, and each is billed separately from your freight pay.

STEP 4: PAYMENT TERMS

4.3 Receipts

Company shall issue a receipt for every payment received from Carrier, itemized by the service selected.
